Accredited Investor Qualifications

(Effective 2025 - 17 CFR § 230.501)

For Individuals

Must meet at least one (1) of the following:

• Income Test: $200,000+ (individual) or $300,000+ (joint) income in each of the last 2 years, with expectation of same income this year.
• Net Worth Test: Net worth over $1 million (excluding primary residence).
• Professional Certifications: Series 7, Series 65, or Series 82 license.
• Executive or Knowledgeable Employee status.

For Entities

Must meet at least one (1) of the following:

• Corporation, LLC, partnership, or trust with over $5 million in assets.
• Banks, insurance companies, investment companies, broker-dealers, SBICs.
• Registered investment advisers.
• Family Offices with $5 million+ and Family Clients.
• Entities where all equity owners are accredited investors.
